1. Acceptance of Terms

By accessing and using PlusAI Diagram ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these terms, please do not use the Service.

2. Description of Service

PlusAI Diagram is an AI-powered business diagram generation tool that allows users to create professional business structure diagrams, organizational charts, and flowcharts. The Service uses artificial intelligence to process user data and generate visual diagrams.

3. Service Level and Availability

While we strive to provide reliable and uninterrupted service, we make the following commitments and disclaimers:

Service Availability

• We aim to maintain high service availability, but do not guarantee 100% uptime
• Planned maintenance will be scheduled during off-peak hours when possible
• We will use reasonable efforts to notify you of scheduled maintenance in advance
• Emergency maintenance may be performed without prior notice

Service Limitations

The Service is provided on an "as is" and "as available" basis. We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from the Service will be accurate or reliable
• Any errors in the Service will be corrected within a specific timeframe
• The Service will meet your specific requirements or expectations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content.

4. Subscription and Payment Terms

Access to the Service may require payment of subscription fees. By subscribing, you agree to the following:

Fees and Billing

• All fees are quoted in Australian Dollars (AUD) unless otherwise stated
• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• You authorize us to charge your chosen payment method for all fees
• Fees are non-refundable except as required by Australian Consumer Law
• We reserve the right to change fees upon 30 days' notice

Payment Failures

If payment fails or your subscription expires:

• We will attempt to notify you via email
• Your access to the Service may be suspended until payment is received
• We may charge late fees or interest on overdue amounts as permitted by law
• Your account may be terminated after 30 days of non-payment

Cancellation and Refunds

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of your current billing period
• No refunds are provided for partial subscription periods
• Australian Consumer Law rights apply and cannot be excluded

5. User Accounts

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload malicious code, viruses, or any harmful content
• Attempt to gain unauthorized access to the Service or related systems
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Reverse engineer or attempt to extract the underlying AI models or technology
• Build competing products or services using our AI outputs
• Violate Anthropic's Usage Policy or AWS Acceptable Use Policy

Our Service utilizes Anthropic's Claude AI models through AWS Bedrock, and you must comply with AWS Bedrock Third-Party Model Terms and Anthropic's Usage Policy when using the Service.

7. Intellectual Property and Content Ownership

The Service and its original content, features, and functionality are owned by PlusAI Solutions and are protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain all ownership rights to your input data ("Inputs") and AI-generated diagrams ("Outputs"). By uploading data, you grant us a license to use, process, and display this data solely for the purpose of providing the Service.

AI-Generated Content: While you own the Outputs generated by our Service, you acknowledge that:

• AI-generated content may contain inaccuracies or errors
• You are responsible for reviewing and verifying all Outputs before use
• Similar outputs may be generated for other users with similar inputs
• Your Inputs and Outputs will not be used to train or improve AI models

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand our practices.

9. Data Storage and Security

We take data security seriously and implement appropriate measures to protect your information:

Data Location

• Your data is processed using AWS infrastructure in the Sydney region (ap-southeast-2), Australia
• We use third-party authentication services (Clerk) which may store data in other regions
• AI processing is performed using AWS Bedrock in the Sydney region

Data Backup and Recovery

• We maintain regular backups of your data
• We cannot guarantee recovery of all data in the event of a system failure
• You are responsible for maintaining your own backup copies of important data

Data Portability

You may export your diagrams at any time in SVG or PNG format. Upon request, we will provide your data in a machine-readable format within 30 days, subject to technical limitations.

10. Australian Consumer Law

Our Service comes with guarantees that cannot be excluded under the Australian Consumer Law (ACL). For major failures with the Service, you are entitled to:

• Cancel your contract with us; and
• A refund for the unused portion of your subscription

You are also entitled to compensation for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have the problem rectified within a reasonable time, or if this is not done, to cancel your contract and obtain a refund for the unused portion of the subscription.

Nothing in these Terms excludes, restricts, or modifies any guarantee, warranty, term, condition, right, or remedy implied or imposed by the ACL or any other law that cannot lawfully be excluded, restricted, or modified.

11. Warranties and Disclaimers

We strive to provide reliable service, but we do not guarantee that the Service will be available at all times. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

12. AI Service Limitations and Disclaimers

You acknowledge and agree that:

• No Warranties: AI-generated content is provided "as is" without warranties of any kind
• Accuracy: You must independently verify the accuracy and appropriateness of all AI-generated outputs
• No Professional Advice: The Service does not provide professional, legal, financial, or business advice
• User Responsibility: You are solely responsible for your use of AI-generated content and any decisions based on it
• Third-Party Terms: Use of Claude AI is subject to AWS and Anthropic terms, which may change without notice

13. Limitation of Liability

To the maximum extent permitted by law, PlusAI Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service, including but not limited to damages arising from:

• Inaccuracies or errors in AI-generated content
• Reliance on AI-generated diagrams or outputs
• Service interruptions or unavailability
• Data loss or corruption
• Third-party AI service limitations or failures

14. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms and Conditions
• Violation of applicable laws or third-party rights
• Non-payment of fees (if applicable)
• Fraudulent, abusive, or illegal activity
• Violation of Anthropic's Usage Policy or AWS terms

Upon termination, your right to use the Service will immediately cease. You may terminate your account at any time by contacting us at info@plusai.com.au. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

15. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Sydney, New South Wales, Australia.

16. User-Generated Content

You are solely responsible for any content, data, or files you upload, submit, or transmit through the Service ("User Content"). By submitting User Content, you represent and warrant that:

• You own or have the necessary rights to use and share the User Content
• Your User Content does not violate any third-party rights, including intellectual property rights
• Your User Content does not contain any unlawful, harmful, or offensive material
• You will comply with all applicable laws and regulations

We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable, without prior notice.

17. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify users of any material changes by:

• Posting the updated terms on this page with a new "Last updated" date
• Sending an email notification to your registered email address (for significant changes)

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and close your account.
